Terms of Service

Issued and last updated: October 24, 2026

These Terms of Service (the “Terms”) govern your use of Inbound Order Match (the “Service”), operated by Solver (the “Operator”).

DRAFT — Do not use as final public terms until legal review and an acceptance process are complete.

The Service does not yet collect or record acceptance of these Terms. Contract formation, cancellation effective dates, refunds, taxes, consumer terms, liability limits, and notice procedures for changes still require confirmation.

1. The Service

The Service helps users split wholesale order text into line items, match them against a product-code dictionary, review the results, and export a CSV. It does not automatically integrate with or send orders to sales-management systems. For line splitting, order text is sent to the configured AI endpoint (see Section 3 and the Privacy Policy).

Your use is subject to these Terms and the Privacy Policy. Viewing this page alone does not constitute acceptance of these Terms.

2. Accounts and your responsibilities

Keep account information accurate and protect your sign-in credentials. To the extent permitted by law, you are responsible for activity through your account.

You must have authority to submit orders, customer information, product dictionaries, and other data to the Service. Do not submit information that infringes another person’s rights or confidential information that is unnecessary for the work.

3. AI processing and review

The order line-splitting feature sends order text to the AI endpoint configured for the environment. The default is OpenAI GPT-4.1 mini through Vercel AI Gateway, but settings may change the endpoint or model. See the Privacy Policy for details.

AI-generated line splits and product suggestions may be inaccurate or incomplete. Review order details, quantities, and product codes before using or exporting them for business operations.

4. Fees and payment

Current public prices are in US dollars. The Free plan allows up to 30 orders per month. Standard costs $99 per month and includes up to 250 orders. Starting with the 251st order, Standard incurs an overage charge of $0.50 per saved order. Usage is counted by order, not line item; adding or editing dictionary entries is free.

Payments are handled through Stripe. The Service does not store card numbers. Prices, billing periods, applicable taxes, cancellation effective dates, and refund terms must be finalized before publication; while this page is marked draft, these are not final contract terms.

5. Your data and intellectual property

You retain rights in order text, product dictionaries, and other data you submit or save. You authorize the Operator to process that data as needed to provide, store, maintain, and secure the Service and respond to support requests.

The Service, software, interface, names, logos, and related materials belong to the Operator or their respective rights holders. These Terms grant you a limited right to use the Service and do not transfer other rights.

6. Prohibited conduct

  • Using the Service in violation of law or another person’s rights.
  • Unauthorized access, probing for vulnerabilities, or disrupting the Service or other users.
  • Submitting data without authorization, sharing credentials, or evading usage limits or billing measurement.
  • Copying, reselling, or reverse engineering the Service, except where applicable law does not allow that restriction.

7. Changes or suspension

The Operator may change or suspend all or part of the Service for maintenance, outages, security needs, or legal requirements. Where practical, notice will be provided in advance, except in emergencies. Use may be restricted as needed if you breach these Terms or create a risk to safe operation. The Privacy Policy describes how saved data is handled and deleted.

8. Warranties and liability

The Operator does not warrant uninterrupted availability, accurate AI results, or fitness for a particular workflow. You are responsible for reviewing results before relying on them.

Any limits on liability must comply with applicable law, and their final wording is still under legal review. Nothing in these Terms excludes liability or mandatory user rights that cannot lawfully be limited.

9. Changes to these Terms

If these Terms change, we will identify the changes and effective date and give notice as required by applicable law. We will obtain individual consent where required. The detailed notice process must be confirmed before publication.

10. Governing law and jurisdiction

These Terms are proposed to be governed by Japanese law, with the Saitama District Court as the exclusive court of first instance for disputes relating to the Service. This clause must be reviewed before publication in light of users and applicable law.
